STARTING A BUSINESS IN VIRGINIA

The legal requirements for starting a business in Virginia include:

 

  • Business Entity Selection: Choose the appropriate legal structure for your business, such as a limited liability company (“LLC”) or a corporation.  Have your lawyer draft proper governance documents so that the corporate veil selected protects your personal assets from your new business activity. 
  • Business Name Registration And Protection: Select a name for your enterprise. Coordinate filings to ensure the protection and registration of the name.   Protect your trademarks and intellectual property.   
  • Obtain Necessary Licenses and Permits: Depending on the nature of your business, you may need specific licenses or permits. 
  • Business Insurance: Obtaining appropriate insurance coverage for your business.
  • Compliance with Employment Laws: Comply with employment laws as applicable to your business.  Have your lawyer draft contracts that protect your enterprise.
  • Local Regulations: Check with the local county or city government for any additional rules that may apply. 
  • Federal Tax Planning.  If Your business may or may not need a federal EIN, a sub-chapter S-election, or other filings pursuant to the Internal Revenue Code and its opportunities and threats.   
  • Register for State Taxes: Register with the Virginia Department of Taxation to fulfill your state tax obligations, such as the state income tax, employer withholding taxes, and sales taxes.
